Technology Terms.

These terms form the contract between you and Skewbird Technologies FZCO for AI readiness assessments, custom AI and software development, ERP implementation, integration and the subscription tooling we provide.

They are supplemented by our Service Level Agreement, Acceptable Use Policy and Data Processing Addendum, which form part of this agreement. Your account on this website is governed by the Platform Terms.

• Assessments: AI readiness and investor readiness reviews delivered as a report and recommendations.
• Implementation: Custom software, AI integrations and ERP configuration delivered against a written statement of work.
• Subscriptions: Hosted tooling and access provided on a recurring basis for as long as it is paid for.

Where a statement of work conflicts with these terms, the statement of work prevails for that project.

For subscriptions and hosted tooling we grant you a non-exclusive, non-transferable, revocable licence to use the software for your own business for the paid term. You may not resell it, sublicense it, reverse engineer it, or use it to build a competing product.

The licence ends when the subscription ends. Section 09 explains what happens to your data at that point.

• Acceptance: Deliverables are deemed accepted 10 working days after handover unless you raise a written defect (a failure to meet the agreed specification) within that window.
• Defects vs. changes: A defect is fixed at our cost. A change to what was specified is quoted as a variation. We distinguish the two in writing rather than absorbing scope silently.
• Your dependencies: Projects need your input: data, access, environments, approvals and a decision-maker. Delay in those moves the timeline and may move the cost, and we will tell you at the time rather than in the final invoice.
• Third-party services: Where the solution depends on a third party: cloud, model provider, ERP vendor, payment or messaging service. Their availability, pricing and terms are outside our control.

AI systems are probabilistic. Output can be wrong, incomplete, biased or fabricated while appearing entirely confident, and the same input can produce different output on different runs.

• Not professional advice: Nothing an AI feature produces is legal, financial, tax, medical or engineering advice, whatever its tone.
• Human review: You are responsible for reviewing AI output before acting on it or publishing it, and for keeping a human in the loop wherever a decision affects a person’s rights, money or safety.
• No accuracy warranty: We do not warrant that AI output is accurate, complete or fit for a particular purpose, and we are not liable for decisions taken on it without review.
• Model changes: Underlying models are updated and retired by their providers. Behaviour can change; we will tell you where we know a change is material to your implementation.

• Yours stays yours: Your data, content, business processes and materials remain yours. We claim nothing in them.
• Ours stays ours: Our pre-existing platform, frameworks, libraries, tooling and know-how remain ours, including improvements we make to them while working for you.
• Custom deliverables: Custom work built specifically for you under a statement of work transfers to you on full payment, unless that statement says otherwise. Until payment, you have no licence to use it in production.
• Embedded components: Custom deliverables usually embed our reusable components. Those stay ours, and you get a perpetual licence to use them as part of the deliverable.
• Open source: Third-party open-source components carry their own licences, which we will identify on request.

• Currency: All prices are quoted in UAE Dirhams (AED).
• VAT: Prices for supplies made in the UAE include Value Added Tax at 5% where applicable, under Federal Decree-Law No. 8 of 2017. Skewbird Technologies FZCO issues the tax invoice for everything in this service line.
• Total price: The full amount payable: goods or services, VAT and any delivery or installation charge. Is confirmed to you in writing before you commit. Nothing is added after that point.
• How you pay: Payment is arranged directly with us: bank transfer, Aani, or card and cash on delivery where offered. There is no card checkout on this website, and we never ask for your card details by email or message. Treat any such request as fraudulent and tell us.
• Proof of payment: Your order moves out of pending status once we have verified the transfer. Quote your order reference on the transfer so we can match it.

Subscriptions renew automatically at the interval shown until cancelled. Cancel from your dashboard or by emailing legal@wisermonks.com; cancelling stops the next renewal and access continues to the end of the period already paid for.

We may suspend access for non-payment after written notice, or immediately for a serious breach of the Acceptable Use Policy. We notify you before any price change and you may cancel without penalty at that point.

Your data stays yours. On termination you may export it in a common machine-readable format, and we will help you do so, for 30 days after the subscription ends.

After that window we delete it in line with the retention schedule in the Data Processing Addendum. We do not hold data hostage against a commercial dispute.

Nothing in this document reduces the rights UAE law already gives you. Federal Law No. 15 of 2020 on Consumer Protection and Cabinet Decision No. 66 of 2023 entitle you to accurate information before you buy, goods and services that match their description and are fit for purpose, and a remedy when they are not. Where anything here conflicts with those rights, those rights prevail.

For distance purchases you also have a 14-day right to cancel without giving a reason, subject to the exclusions UAE law permits. The detail is in the relevant refund policy.

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded, including your statutory consumer rights.

Subject to that, Skewbird Technologies FZCO’s total liability arising out of a given order is limited to the amount you paid for that order. We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data that we could not reasonably have foreseen when the contract was formed.

Neither party is in breach for a delay or failure caused by something genuinely outside its reasonable control: including utility and network outages, supplier or shipping failure, regulatory action, and natural events. We will tell you promptly, and if the disruption runs beyond 30 days either of us may cancel the affected order and you are refunded for anything not delivered.

Your contract with Skewbird Technologies FZCO is governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, and you and we submit to the competent courts of the Emirate of Dubai, United Arab Emirates.

Please raise a problem with us first. Most are resolved quickly and at no cost. If we cannot agree, you may escalate free of charge to the UAE Ministry of Economy & Tourism: Consumer Protection Department on 600 522 225 or via moet.gov.ae. That route is open to you whether or not you also go to court.

We may update this document as the law or our services change. The effective date at the top always tells you which version is current, and the version that applied when you placed your order is the one that governs it. Material changes affecting an active subscription or project are notified to you by email before they take effect.
